  1. License Agreement for golive

  3. Notice -- Read this before using the software!
  4.  
  5. This is a legal contract between you and gonet communication inc. 
  6. ("gonet").
  7.  
  8. Before you click on the "Accept" button at the end of this document, 
  9. carefully read the terms and conditions of this Agreement. By clicking 
  10. on the "Accept" button, you are agreeing to be bound by these terms and 
  11. are becoming a party to this Agreement. If you do not agree to all of 
  12. the terms, click the "Decline" button and do not use the software.

  14. 1. gonet grants you a limited-term, non-exclusive, non-transferable 
  15. royalty-free license to use this version of golive (the "Software"), in 
  16. binary executable form for purposes of evaluation and trial only .
  17. You are only licensed to use the Software personally. No 
  18. modification, adaptation, reproduction or transfer is permitted. You 
  19. may: use the Software on any single computer; use the Software on a 
  20. second computer so long as the primary user of each copy is the same 
  21. person and more than one copy is not used simultaneously; or copy the 
  22. Software for archival purposes, provided any copy must contain all of 
  23. the original Software's proprietary notices.

  25. 2. gonet makes no representations concerning the suitability for any 
  26. purpose of the Software or about the accuracy of data or information 
  27. made accessible by it. The Software is provided "as is" without express 
  28. or implied warranties, including but not limited to implied warranties 
  29. of merchantability and fitness for a particular purpose or 
  30. noninfringement of intellectual property rights of third persons. gonet 
  31. assumes no liability for any damages (whether direct, incidental or 
  32. consequential) suffered by you or any third person as a result of use of 
  33. the Software. SOME STATES DO NOT ALLOW EXCLUSIONS OF AN IMPLIED 
  34. WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND YOU MAY HAVE OTHER 
  35. LEGAL RIGHTS THAT VARY FROM STATE TO STATE OR BY JURISDICTION.

  37. LIMITATION OF LIABILITY: UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL 
  38. THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL gonet OR ITS SUPPLIERS OR 
  39. RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, 
  40. SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER 
  41. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK 
  42. STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER 
  43. COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL gonet BE LIABLE FOR ANY 
  44. DAMAGES IN EXCESS OF gonet'S LIST PRICE FOR A LICENSE TO THE SOFTWARE, 
  45. EVEN IF gonet SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH 
  46. DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. THIS LIMITATION OF 
  47. LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY TO 
  48. THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION. FURTHERMORE, SOME 
  49. STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR 
  50. CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO 
  51. YOU.

  53. 3. gonet has no obligation to issue any updates, revisions, corrections, 
  54. new versions or manuals for the Software or otherwise to support the 
  55. Software.
  56.  
  57. 4. Content accessed through the Software is the property of the 
  58. applicable content owner and may be protected by applicable copyright or 
  59. other intellectual property laws. This License Agreement conveys no 
  60. rights to such content.
  61.  
  62. 5. gonet reserves the right at any time to alter prices, features, 
  63. specifications, capabilities, functions, licensing terms, release dates, 
  64. general availability or other characteristics of the Software.
  65.  
  66. 6. The Software is owned by gonet or its suppliers. Title, ownership 
  67. rights, and intellectual property rights in and to the Software shall 
  68. remain in gonet and/or its suppliers. You agree to abide by the 
  69. copyright law and all other applicable laws of the United States and 
  70. other applicable jurisdictions. You acknowledge that the Software in 
  71. source code form remains a confidential trade secret of gonet and/or its 
  72. suppliers. You may not: permit other individuals to use the Software; 
  73. modify, translate, reverse engineer, decompile, disassemble (except to 
  74. the extent applicable laws specifically prohibit such restriction), or 
  75. create derivative works based on the Software; copy the Software; rent, 
  76. lease, assign or otherwise transfer rights to the Software; or remove 
  77. any proprietary notices or labels on the Software.

  79. 7. gonet may terminate this License Agreement at any time by delivering 
  80. notice to you and you may terminate this License Agreement at any time 
  81. by destroying or erasing your copy of the Software. Your license will 
  82. terminate automatically if you fail to comply with the limitations 
  83. specified herein. Upon termination of this License Agreement, you agree 
  84. to destroy or erase the Software. In the event of termination, the 
  85. provisions of paragraphs 2 to 6 of this License Agreement will survive.

  87. 8. This License Agreement shall be governed by the laws of the State of 
  88. California, U.S.A., and the applicable local law of such jurisdiction 
  89. where gonet's intellectual property rights may be infringed. The venue 
  90. of any dispute under this License Agreement shall be the applicable 
  91. State and/or Federal courts for Menlo Park, California; except that 
  92. gonet may enforce its intellectual property rights before the competent 
  93. courts of any jurisdiction where an act of infringement has occured. 
  94. Final decisions of the specified courts may be enforced in any court of 
  95. competant jurisdiction.

  97. 9. If any provision of this License Agreement is unenforceable, invalid, 
  98. or violates applicable law, such provision shall be deemed stricken and 
  99. shall not affect the enforceability of any other provision of this 
  100. License Agreement.

  102. 10. This License Agreement sets forth the entire agreement between you 
  103. and gonet. No change, modification, addition, or amendment to this 
  104. License Agreement shall be valid unless in writing and signed by an 
  105. authorized officer of the party to be charged.

  107. 11. U.S. Government Restricted Rights: use, duplication or disclosure by 
  108. the Government is subject to restrictions set forth in subparagraphs (a) 
  109. through (d) of the Commercial Computer- Restricted Rights clause at FAR 
  110. 52.227-19 when applicable, or in subparagraph (c)(1)(ii) of the Rights 
  111. in Technical Data and Computer Software clause at DFARS 252.227-7013, 
  112. and in similar clauses in the NASA FAR Supplement.
